I have Ameritrade and Wells Fargo broker and have not heard anything. either way, I will not tender my shares.

Purchaser commenced (within the meaning of Rule 14d-2 promulgated under the Securities Exchange Act of 1934 (the “Exchange Act”)) the Offer on November 19, 2015. Subject to the terms and conditions of the Merger Agreement and the Offer, the Offer shall initially be scheduled to expire at 12:00 midnight, New York City time, at the end of the day on December 17, 2015, the date that is 20 business days (for this purpose calculated in accordance with Rules 14d-1(g)(3) and 14d-2 promulgated under the Exchange Act) following commencement of the Offer. The offer is currently open. It seems very quite for being open - have not received any material or communication at all! With only a limited period of time (which can be extended of course), it would deem appropriate to get moving on this asap. For those not wanting this to go through, inertia is on their side (unlike many proxies which will auto vote in favor of management recommendation if you do nothing). In this case, action will have to be directly taken by a shareholder to "tender" their shares.

It would be amusing if they fell short of their 50.1% requirement because they didn't get the materials out there in a timely manner.

I am not surprise they screw up the tender just like everything else. The share price is higher than the tender offer, how about that?

Even if the tender offer materials were out already, it would make no sense for anyone to tender their shares. Instead, if you wanted to tender shares, you can sell on the open market for over $8.50. It's hard to imagine that anyone buying at over $8.50 would then turn around and tender their shares at $8.50. If the price remains over $8.50 then it seems unlikely that they'll make their 50% at this offer price. The question then becomes whether Astellas just extends the offer at the current price, raises the price, or walks away.

I'm guessing they will raise it to $8.60 since it's been sitting just under that line most of the time. Don't see them walking away from a 1.1% increase on a bargain basement deal.
Apparently a few people on ICell are receiving offer details from their brokers now, some from TDAmeritrade, however I have received nothing and I use TDAmeritrade. Guess they are sending it out in blocks? Maybe that GTC sale order I placed for $25/share has something to do with it, lol.
Damn you, Ass-phallus. I mean Astellus.

Good to hear people are getting notifications. Not that I am looking forward to tendering but want to be sure the brokers would not tender my shares if I did not take any actions. I have been checking my accounts and still have the shares.

a vote should be coming for all shareholders who own before a certain date--I believe you own your shares until there is a vote and 50 percent plus one shares vote yes to sell Ocata. make sure you vote your shares in the couple of weeks

I'm sure this has been addressed likely multiple times, but in the spirit of "no such thing as a dumb question" -
What happens if you don't tender shares and it ultimately passes? Do you just get a check at some point?

Do you just get a check at some point? Hokie, your total shares will convert to the cash value (based on the final price per share) and your account will reflect that amount. You can then request a check or buy other stock etc.

Received mine from Etrade today, not tendering. I bought piles more of this in the threes and fours. Those shares are all subject to short term gains. If this can be extended till next year = better, I believe for me. Good luck all in whatever path you take with Ocat !
